{"id":18702,"date":"2025-12-03T21:33:03","date_gmt":"2025-12-03T21:33:03","guid":{"rendered":"https:\/\/nationalgunowner.org\/index.php\/2025\/12\/03\/former-sec-chair-jay-clayton-on-how-to-regulate-prediction-markets\/"},"modified":"2025-12-03T21:33:18","modified_gmt":"2025-12-03T21:33:18","slug":"former-sec-chair-jay-clayton-on-how-to-regulate-prediction-markets","status":"publish","type":"post","link":"https:\/\/nationalgunowner.org\/index.php\/2025\/12\/03\/former-sec-chair-jay-clayton-on-how-to-regulate-prediction-markets\/","title":{"rendered":"Former SEC Chair Jay Clayton on How to Regulate Prediction Markets"},"content":{"rendered":"<div itemprop=\"articleBody\">\n<figure id=\"attachment_1603384\" aria-describedby=\"caption-attachment-1603384\" style=\"width: 970px\" class=\"wp-caption aligncenter\"><figcaption id=\"caption-attachment-1603384\" class=\"wp-caption-text\">Semafor business and finance editor Liz Hoffman interviews Jay Clayton at the New York Stock Exchange on Dec. 2, 2025. <span class=\"media-credit\">Semafor\/Kevin Dale<\/span><\/figcaption><\/figure>\n<p><a href=\"https:\/\/observer.com\/person\/jay-clayton\/\" title=\"Jay Clayton\" class=\"company-link\">Jay Clayton<\/a>, the former chair of the SEC from 2017 to 2020, known for <a href=\"https:\/\/observer.com\/2018\/05\/sec-creates-fake-ico-site-bitcoin-scam-warning\/\">his tough stance on cryptocurrencies<\/a> and protecting retail investors, has a few thoughts on prediction markets\u2014a space that is growing dangerously fast and increasingly blurring the line between investing and gambling.<\/p>\n<section class=\"wp-block-observer-newsletters observer-newsletters--in-content\">\n<\/section>\n<p>\u201c<span style=\"font-weight: 400\">In any new thing\u2014and I don\u2019t want to get ahead of the CFTC or the SEC\u2014you have to ask yourself: What function is this product performing?\u201d He said <\/span>yesterday (Dec. 2) during an interview at a <a href=\"https:\/\/observer.com\/company\/semafor\/\" title=\"semafor\" class=\"company-link\">semafor<\/a> event hosted at the New York Stock Exchange.<\/p>\n<p data-start=\"642\" data-end=\"841\">One such \u201cnew thing\u201d Clayton dealt with during his SEC tenure was initial coin offerings, or ICOs. His view was that ICOs serve the same purpose as IPOs and therefore are subject to U.S. securities laws.<\/p>\n<p><span style=\"font-weight: 400\">\u201cPeople were like, Oh no, it\u2019s not a stock, it\u2019s a coin. Well, it\u2019s an investment in a company that you expect to get a return, so the function it\u2019s performing is the same as a stock or the same as some kind of bond,\u201d Clayton said.<\/span><\/p>\n<p data-start=\"1076\" data-end=\"1519\">He then returned to prediction markets. \u201cThe real question is what function are prediction markets providing?\u201d He said. \u201cWhen does it look just like a cash-settled option on a stock? And when does it look like a bet on a football game? Those are two different functions\u2026 If I go into the betting shop and buy a cash-settled option on American Express, should it just be regulated as a bet or should it be regulated as a cash-settled option?\u201d<\/p>\n<p data-start=\"1521\" data-end=\"1991\">There\u2019s no easy answer. In the U.S., prediction-market contracts are treated as derivatives or event contracts, putting them under the authority of the Commodity Futures Trading Commission (CFTC). Both <a href=\"https:\/\/observer.com\/company\/polymarket\/\" title=\"Polymarket\" class=\"company-link\">Polymarket<\/a> and <a href=\"https:\/\/observer.com\/company\/kalshi\/\" title=\"Kalshi\" class=\"company-link\">Kalshi<\/a> operate under special CFTC licenses as regulated exchanges under U.S. derivatives law. However, some types of event contracts\u2014particularly<a href=\"https:\/\/observer.com\/2025\/11\/espn-bet-shutdown-analysis-sports-betting\/\"> those tied to sports or gaming outcomes<\/a>\u2014may face additional restrictions under state-level gambling laws.<\/p>\n<p data-start=\"1993\" data-end=\"2502\">Both companies have had bumpy paths in reaching U.S. customers. Polymarket was banned by the CFTC in 2022 for offering unregistered event contracts. Some U.S. users stayed on the platform by using VPNs. It officially returned to the U.S. last month after receiving an amended Designated Contract Markets license from the CFTC. Kalshi has faced similar scrutiny, including a Nevada court ruling last month that some of its sports contracts fall under state gaming law rather than federal oversight.<\/p>\n<p><span style=\"font-weight: 400\">\u201cPeople look for regulatory relief by providing a close enough function to something that\u2019s highly regulated, and then they can operate under less regulation\u2026But you have to ask yourself, is it far enough away from a current function that\u2019s finally regulated that it should be regulated differently?\u201d Clayton said. \u201cLuckily, I don\u2019t have to think about those things.\u201d<\/span><\/p>\n<p data-start=\"2876\" data-end=\"2997\">Clayton is now the U.S. attorney for the Southern District of New York, a role President Trump appointed him to in April.<\/p>\n<p>Prediction markets are breaking into the mainstream.\u00a0The young founders of both Polymarket and Kalshi <a href=\"https:\/\/observer.com\/2025\/10\/founder-polymarket-shayne-coplan-youngest-self-made-billionaire\/\">recently became billionaires<\/a> as their companies\u2019 valuations soared.<\/p>\n<p>Last month, the NYSE\u2019s parent company, Intercontinental Exchange Inc. (ICE), announced plans to invest $2 billion in Polymarket and distribute its data to institutions worldwide.
